OpenAI Completes Corporate Reorganization with Support from Microsoft

OpenAI has announced the successful completion of its transition into a public benefit corporation, marking a significant milestone in its corporate evolution. In a blog post attributed to board chair Bret Taylor, it was revealed that OpenAI’s previous nonprofit structure has now transformed into the OpenAI Foundation. This foundational entity will maintain control over OpenAI’s for-profit division, holding an impressive equity stake valued at approximately $130 billion. Taylor noted that further control will be awarded once the for-profit unit achieves a specific valuation milestone.

This groundbreaking announcement could not have been realized without the backing of Microsoft. Previously, Microsoft had made significant investments into OpenAI, holding a 32% share of the for-profit branch. In a concurrent blog post, Microsoft disclosed that its stake will now be reduced to 27% in the new public benefit corporation, estimated to be worth around $135 billion. This positions OpenAI’s total valuation at an impressive $500 billion.

Negotiations surrounding this corporate restructuring were reported to be complex and at times tense, especially given Microsoft’s recent partnerships with other tech firms. However, both companies have made considerable sacrifices to facilitate this agreement, which is essential for OpenAI’s financial future.

Moving forward, Microsoft will retain intellectual property rights related to OpenAI’s products until 2032. Notably, Microsoft will relinquish IP rights concerning upcoming hardware developed with former Apple designer Jony Ive, while OpenAI commits to invest $250 million in Azure cloud services.

Ultimately, this reorganization sets the stage for OpenAI to potentially become a publicly traded entity.
